Board effectiveness review

The revised Corporate Governance Code for quoted companies was introduced by the Financial Reporting Council in 2010.

How IES can help

Building on our reputation for evaluation as an independent, objective, apolitical organisation, IES has developed a rigorous approach to assessing a board’s level of adherence to the Code.

In addition, we believe that, beyond basic adherence, there are higher levels of board performance that are based more on the people and relationship issues, such as how effective board meetings are and what they focus on, rather than just whether they happen or not.

Our suite of tools

Our suite of evaluation tools allows organisations to choose what level of assessment and support they want to deliver their required business outcomes.

We have developed four standard options that you can choose from when evaluating the effectiveness of your board. These reflect both an increasing level of challenge in how effective your board is as well as a widening and deepening of the information considered in the assessment. The first two focus on assessment against the code and the second two encompass important aspects of board performance not explicitly covered by the code.

Revised Corporate Governance Code

“the board should undertake a formal and rigorous annual evaluation of its own performance and that of its committee and of individual directors”

“evaluation of the board of FTSE 350 companies should be externally facilitated at least every three years”

“a challenge that should not be underrated”

“to run a corporate board successfully is extremely demanding”
